The Republic of Seychelles is located in the Indian Ocean off the east coast of Africa, comprising more than one hundred named islands, the largest of which is Mahe. The economy is primarily tourism based although the finance sector is growing rapidly since the establishment of the Seychelles International Business Authority. Progressive laws have been enacted which are intended to facilitate offshore structures and the flow of inward investment.

The enabling legislation is the International Business Companies Act 1994 (Act 24 of 1994).

Summary:

  • Total anonymity. No requirement to disclose beneficial owners. No requirement to file annual return or financial statements. No requirement to hold an Annual General Meeting of shareholders or Directors

  • An important feature is that annual statutory fees (annual license) remain fixed at their level at incorporation for the life of the company, regardless of ongoing statutory increases.

  • Full exemption from taxation on any business activity or transaction carried on outside The Seychelles

  • No minimum or maximum capital requirements

  • Nominative or Bearer shares at owner's option

  • The Shareholders, Directors and Officers may be corporate or individual persons of any nationality and be residents of any country

  • Shareholders and/or Directors may hold their meetings in any country and they may attend by proxy

  • The name of the corporation may be in any language but must be accompanied by a translation in either English or French. Must use the title Limited, Corporation, Incorporated, Societe Anonyme or abbreviations thereof as well as B.V., GmBH and SARL.

  • Shelf companies (both aged and contemporary) are immediately available. These have never traded nor engaged in any activity whatsoever. We provide written verification to that effect with the company documents.

  • There is no minimum authorized share capital. May consist of shares with a nominal or par value or both. Authorized share capital usually consists of US$50,000.00 divided into 50,000 shares of US$1.00 each but may be denominated in any permutation (such as 50 shares of US$100.00 for example), to remain below the desired ceiling of authorized share capital.

  • Registration fee of US $100.00 applies for capital of US$50,000. A sliding scale operates above this level. The fee is US$300.00 when the authorized share capital exceeds US$50,000 but does not exceed US$50,000 and the fee increases to US$1,000 when the authorized share capital exceeds US$50,000. Authorized share capital comprising some or all no par value shares not exceeding US$50,000 will attract a fee of US$350.00.

  • At least one subscriber required.

  • Minimum of one Director required. May be corporate entities or individual persons, without restriction as to domicile.

  • There is a requirement for a Registered Office to be located in the jurisdiction.

  • A Registered Agent must be resident in The Seychelles.

  • Information disclosed in public records is limited to name and address of Registered Agent

  • The Company does not require a corporate seal.

  • No accounts or annual returns required

  • There are no restrictions as to venue of meetings
