Samoa

Samoa, which comprises two large islands and seven small isles, is located on the Southern Pacific Ocean, approximately equidistant between Honolulu and Sydney and immediately east of the International Date Line. The islands have a total land area of approximately 2,934 square kilometres. Apia, on the island of Upolu, is its capital. Samoa has been a fully independent nation since 1962 and became a member of the United Nations in 1976. Samoa has a Parliamentary Government with a democratic voting system and elections are held every five years. Both English and Samoan are the two official languages. The Samoan Polynesian language is dominant, but English is widely spoken. The local currency is the Samoa Tala.

International Companies

An International Company (IC) is legislated under the Internatioanl Companies Act 1987 (as amended, 1998) . An IC is a company that does not engage in active business within Samoa. The IC Act established a corporate entity which requires the minimum of administration. There is no requirement to disclose the identity of the beneficial owners of an IC. There is no requirement to file annual returns nor financial statements. Meetings of shareholders and/or Directors may be held in any country and may be attended by proxy or by electronic means such as telephone, facsimile etc.

Proposed Name:

Titles such as "Corporation" ("Corp." may be used), "Limited" ("Ltd." may be used), "Incorporated" ("Inc." may be used), "Societe Anonyme" or "Sociedad Anonima" ("S.A." may be used),"Aktiengesellschaft" ("A.G." may be used), "Berhad" ("Bhd" may be used),"Naamloze Vennootschap" ("N.V." may be used, "Besloten Vennootschap" ("B.V." may be used).

Shelf Companies:

These companies are "clean", that is to say they have never traded nor engaged in any transaction whatsoever. We deliver a letter to this effect (letter of non-activity) to our clients.

Objects:

The Group's standard objects provide comprehensive powers. If required, a specific objects clause may be drafted to suit clients' needs.

Annual Fee - Samoa:

The annual fee is US$300 regardless of the authorized share capital of the company.

Shares:

Bearer and Redeemable shares are permitted.

Shareholders:

There are no limitations as to their number or nationality.

Shareholder Meetings:

Shareholders' meetings may be held in any part of the world. The quorum is specified in the Articles of Association.

Officers:

A resident Company Secretary is required with at least one resident Director.

Directors Meetings:

May be convened in any part of the world.

Registered Agent/Registered Office:

The IC Act requires that every IC have a Registered Office and a Registered Agent, qualified to act as such, in Samoa. In our standard Memorandum of Association, our Samoa Office is nominated as the Registered Office and they act as the Registered Agent of the IC in Samoa.

Company Seal:

A Company Seal is optional.

Limitations:

being an offshore company, is a company that cannot:

  • Carry on business with residents of Samoa;
  • Carry on banking and/or trust business;
  • Carry on business as an insurance or reinsurance company;
  • Carry on the business of providing the Registered Office for companies.
